Agreement to Terms

Welcome to ForRestOfUs. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services.

1. Services Description

ForRestOfUs provides sustainability consulting services, including but not limited to:

  • IFRS S1 & S2 sustainability disclosure consulting and reporting
  • Greenhouse Gas (GHG) accounting and carbon footprint management
  • GHG calculator tools and reporting software
  • Training and capacity building programs
  • Sustainability strategy development and implementation
  • ESG reporting and compliance support

2. Account Registration

2.1 Account Creation

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept all responsibility for activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account
2.2 Account Types

We offer the following account types:

  • Free Trial: 5-day access to platform features for evaluation purposes
  • Paid Subscription: Full access to all platform features and services
  • Administrator: Full system access for ForRestOfUs staff
2.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

3. Subscription and Payment

3.1 Free Trial

New users are eligible for a 5-day free trial period. At the end of the trial period, you must subscribe to a paid plan to continue using the Services.

3.2 Subscription Plans

Our monthly subscription is priced at IDR 500,000 per month. This fee grants you access to:

  • GHG Calculator with emission factor database
  • Report generation and export tools
  • IFRS Report Builder for sustainability disclosure
  • Dashboard and analytics features
  • Customer support
3.3 Payment Terms
  • Subscription fees are billed monthly in advance
  • All payments are processed securely through third-party payment providers
  • Prices are subject to change with 30 days' notice
  • You are responsible for all applicable taxes
3.4 Refund Policy

Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion on a case-by-case basis for exceptional circumstances.

3.5 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period.

4. User Responsibilities

4.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Services in any way that violates applicable laws or regulations
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that interferes with or disrupts the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Use automated systems (bots, scrapers) without our written permission
  • Upload or transmit viruses, malware, or other malicious code
  • Harass, abuse, or harm other users
  • Collect or store personal data about other users without consent
4.2 Data Accuracy

You are responsible for ensuring that all data you input into our Services (including emissions data, activity data, and company information) is accurate and complete. ForRestOfUs is not responsible for errors or inaccuracies in reports generated from incorrect input data.

4.3 Professional Advice

While our Services provide tools and guidance for sustainability reporting, they do not constitute professional advice. You should consult with qualified professionals for specific legal, financial, or technical advice.

5. Intellectual Property Rights

5.1 Our Content

All content on our platform, including text, graphics, logos, software, data, and tools (the "Platform Content"), is the property of ForRestOfUs and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain all rights to the data and content you upload to our Services ("User Content"). By uploading User Content, you grant us a limited license to:

  • Store, process, and display your content as necessary to provide the Services
  • Generate reports and analytics based on your data
  • Create aggregated, anonymized data for research and improvement purposes
5.3 Restrictions

You may not:

  • Copy, modify, or distribute Platform Content without our permission
  • Reverse engineer, decompile, or disassemble our software
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our trademarks or branding without written authorization

6. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.

7. Disclaimers and Limitations of Liability

7.1 Service "As Is"

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 No Guarantee of Accuracy

While we strive to provide accurate emission factors and calculation methodologies, we do not guarantee the accuracy, completeness, or reliability of any content or data provided through our Services.

7.3 Limitation of Liability

To the maximum extent permitted by law, ForRestOfUs shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from errors or inaccuracies in reports
  • Service interruptions, technical failures, or security breaches

Our total liability shall not exceed the amount you paid for the Services in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless ForRestOfUs, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of service of any third-party sites or services. Your use of third-party services is at your own risk.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

10.2 Terms Updates

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. Material changes will be notified via email or prominent notice on our website. Your continued use of the Services after changes constitutes acceptance of the new Terms.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Indonesia, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through:

  1. Good faith negotiation between the parties
  2. If negotiation fails, mediation in Jakarta, Indonesia
  3. If mediation fails, binding arbitration in Jakarta, Indonesia

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ForRestOfUs regarding the use of our Services and supersede any prior agreements.
